Reshma leads our debt finance practice, with over 20 years’ experience acting for lenders including UK clearing banks and investment funds, and corporate borrowers.

Reshma specialises in all aspects of secured lending and has extensive experience in leveraged and acquisition finance. She is used to negotiating complex syndicated multi-currency loan facilities, amendment and restatement agreements and refinancing of facilities, all forms of security, security trustee arrangements, mezzanine finance and priority and intercreditor documentation and private placement facilities.

Reshma has particular expertise in social housing finance and has advised a number of housing associations and lenders on their funding arrangements.

She also works on cross- border transactions involving an English law element.

Reshma also advises corporate, and lender clients in distress situations including undertaking security reviews and restructuring of loans and security.

She regularly works closely with our corporate, real estate and regulatory lawyers when advising on corporate debt transactions and has experience in project managing such transactions.

She is recognised as a ‘Next Generation Partner’ in the 2024 Legal 500 rankings.

Private equity investors
Advising private equity investors on their funding arrangements for corporate acquisitions, often involving complex debt structures, loan note security and intercreditor deeds.

Welsh Government
Advising Welsh Government in connection with their lending to registered social landlords under their Innovative Housing Programme (IHP) and related schemes. Reshma drafted and negotiated loan and security documentation for this scheme working closely with the real estate team.

Roadside retail corporate borrower
Advised a roadside retail corporate borrower on its funding arrangements involving loan note and preferred equity facilities for the purpose of funding future acquisitions of companies and properties including negotiating the subscription agreement, security and satisfaction of the funder’s conditions to funding.

Julian Hodge Bank
Acting for Julian Hodge Bank on various development loan facilities for the acquisition and/or development of properties and Reshma has been instrumental in advising Hodge on their template documentation for their development loan and other products.

HSBC
Advised HSBC in its facilities to the Victorian Sliders group in relation to a refinance of its existing CBILS financing arrangements with Lloyds Bank plc. We put in place the overdraft and term loan facilities, and the security arrangements and subordination agreements in respect of shareholder debt.

Private equity backed buyer
Advised a private equity backed buyer on its £10 million senior debt facility for the acquisition of a private care provider drafted on a syndicated basis.

Welsh Rugby Regions
Advised the Welsh Rugby Regions (Cardiff, Scarlets, Ospreys and Newport) on the amendments to their facilities with the Welsh Rugby Union, as well as two new loan agreements to, and new security taken over, Scarlets Regional Limited and Cardiff Blues Limited.

Real estate investor
Providing expert advice to an experienced real estate investor on the strategic reorganisation of deep discounted bonds and ensuring a robust financial restructuring. Worked closely with our corporate team to out in place the secured and unsecured bonds and related security.

Canadian Bank
Advising on the English aspects of credit facilities provided by a well-known Canadian Bank to a marine group. We prepared and negotiated English law governed charter assignments and sub-charter assignments related enforceability legal opinions. This transaction involved a number of jurisdictions.

A banking client
Giving advice on enforcement options to a bank client dealing with a defaulting borrower, preparing a security review and assisting our client in taking steps to appoint an LPA receiver from service of demands through to the appointment.

Social housing
Acting for social housing sector clients, both in Wales and England, on their funding arrangements with lenders.

Lenders and borrowers
Acting for both lenders and borrowers on development loan facilities for the acquisition and/or development of properties.

Acting for lenders including many major clearing banks, mezzanine lenders and corporate borrowers in relation to funding for acquisitions and management buy outs.

Finance and development funding in healthcare
Advising on renewables finance and development funding in the context of the healthcare sector including the acquisition and development of care homes and healthcare centres across England and Wales.
